Our team focuses on the commercial aspects of the corporate insolvency, receivership and restructuring and become a counselor to clients. We help our clients to go from a place of trauma to a place of strength.
In addition to helping debt stressed companies, our experienced team supports Companies to restructure in preparing for a sale, buyout, merger, change in overall goals, or transfer of ownership.
When the sometimes challenging process of restructuring ends, the company should ideally be left with smoother, more economically sound business operations.
Milestones
- Perfected securities for numerous financial institutions in Uganda.
- Provided a bank with Project Management work worth USD 15 million.
- Represented a bank in relation to Revolving Trade Finance Line of Credit facilities worth USD 10 million to Uganda Development Bank.
- Acting as local law advisors on a USD 150 million facility to an international telecommunication company from a number of financial institutions with Deutsche Bank as agent.
- Advising a company on a facility of USD 21 million extended to it by a funding partner for the construction of a hydro power plant in Western Uganda.
- Advised an agricultural company on a loan worth USD 175 million from a bank.
- Advising on various facilities and securities by Standard Chartered Bank Uganda to its various Ugandan entities.
- Recovered over USD 5 million on behalf of Standard Chartered Bank Uganda, arising from secured debt facilities.
- Advised on and concluded a creditors’ winding up on behalf of a confidential client.
- Advised Centenary Rural Development Bank on the acquisition of a 10% stake in the Bank by Rural Impulse Fund II/ RIF- North1, a company managed by INCOFIN Investment Management.
- Advised SAB Miller on its acquisition of Rwenzori Bottling (U) Ltd, a leading mineral water producer and its subsidiary Plastics Recycling (U) Ltd.
- Advised Orient Bank in connection with the acquisition of 70% of its share capital and its subsidiary by Sabre Capital Limited and co-investors.
- Advised Sanlam Developing Markets in acquiring majority stake in Niko Insurance Uganda Limited.
- Advised MTN International Mauritius Limited in the sale of 6% of its shareholding in MTN Uganda Limited through a private placement.
- Advised Global Environment Fund on a US$ 4million loan to Global Woods for restructuring of the company. The loan is to be converted into equity and the Fund will commit additional investment.
- Advised a confidential client on an acquisition of a conglomerate that operates in the East African region engaged in the supply of auto parts.
- Advised Saipem International BV in structuring an acquisition of Habib Oil’s 49% shareholding in Saipem East Africa Limited by its subsidiary, Snamprogetti Netherlands BV.
- Recovering a facility on behalf of Orient Bank Limited over 13 Billion Uganda Shillings.
- Recovering facilities on behalf of NCBA Bank Uganda Limited over USD 2 million and
- Recovering facilities on behalf of NCBA Bank Uganda Limited over UGX. 3 Billion.
