Zulaika worked as an in house lawyer in the departments of three top companies in the telecoms and banking sectors for nearly 10 years. She has extensive knowledge of the telecommunications industry in Uganda having worked in two leading telecom companies in the country and participated in the conclusion of over 500 land transactions for the construction of Base Transmission sites within a period of one year. This work involved acquisition of surface rights, preparation of environmental and social impact assessments, negotiating infrastructure and construction contracts and negotiating with third parties their rights to access the infrastructure. The project also involved negotiating with the various land owners who owned land under different tenements including leasehold, freehold, customary, lawful and bona fide occupants, mailo-land and Kabaka’s land. She consequently oversaw the registration of the company’s interest over its various land acquisitions.
She advised AmatheonAgri Uganda Limited, one of the largest agri businesses in Uganda on the acquisition of large tracts of farmland in northern (Nwoya District) and eastern Uganda totalling over 400 hectares. The transactions cut across different land tenure systems such as customary, leasehold and freehold. She further oversaw the conversion of customary tenure property to leasehold and freehold tenure as well as the registration of the acquired interest and extraction of titles for the same. She advised on the environment impact assessment and on the impact of their farming activities on the communities.
Zulaika advised Kookee Enterprises Limited on the legal and environmental aspects of setting up a milk processing plant in Wakiso District and liaised with the relevant authorities in acquiring the requisite authorizations to enable commencement of the project.
She was instrumental in negotiating tariffs for the use of this infrastructure. She brings on board over ten years’ experience and has been involved in the license review process of utility companies in Uganda and Tanzania.
Additionally she has experience in mergers and acquisitions as well as general administration of companies. She is a chartered secretary and has vast experience in a wide range of company issues spanning across formation, board matters, corporate governance, compliance, mergers and acquisitions, trademarks, taxation and labour laws.
She has an in-depth knowledge of the financial sector having worked with DFCU Bank as a legal and compliance officer. While there, she provided support in the compliance of bank regulations involving the Bank of Uganda, The Capital Markets Authority and the Uganda Stock Exchange. She routinely drafted and reviewed bank contracts and provided assistance to the company secretary on shareholder matters. She has an excellent understanding of the operation of the banking laws in Uganda and is particularly experienced with land transactions. As a legal officer she routinely followed up on the perfection of the bank’s securities with the lands and companies offices and has an excellent working understanding of both.
Zulaika graduated top five of her class and as a Dean’s List Student from Makerere University in 2003. She is an Advocate of the High Court of Uganda and is a member of the Institute of Chartered Secretaries and Administrators (ICSA).
