Our Governance, Capital Markets and Securities practice gives advice on a wide range of transactional matters. The corporate team advises on the formation of legal entities such as companies, branches and non-governmental organizations. It also advises on corporate structuring, company secretarial practice, shareholding issues, corporate governance and capital markets with regard to Initial Public Offerings.

On the corporate finance side, we advise on international finance, international cross-border finance, trade and commodity finance, project finance, infrastructure finance and asset finance.

Our practice also deals with large scale and/or complex supply of goods and services contracts, outsourcing arrangements, distribution and agency agreements, public procurement agreements, construction and infrastructure arrangements, licensing and regulatory matters.

The team also advises clients on derivatives and capital markets with regard to Initial Public Offerings. We also have experience in due diligence and corporate restructuring.
In this field our relevant experience in this field is as below:

• Advised Standard Chartered Bank on the issuance of its subordinated debt issue.

• National Insurance Corporation on its bonus issue and rights issue at the Uganda Securities Exchange.

• Cross-listing of shares of Uchumi Supermarkets Limited on the Uganda Securities Exchange; and

• Kenya Airways on the cross-listing and rights issue of its shares on the Uganda Securities Exchange.
